1.Acceptance of Terms

By accessing or using the website at srsemi.in, submitting a request for quotation (RFQ), placing an order, or engaging with any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.

These terms constitute a legally binding agreement between you ("Buyer" or "Client") and SRSEMI ("Company," "we," "us," or "our").

2.Services Overview

SRSEMI provides business-to-business (B2B) electronic component sourcing and supply chain management services, including but not limited to:

• Electronic component sourcing from verified global suppliers
• Quality assurance and component authentication testing
• Procurement and supply chain management solutions
• Excess and surplus inventory purchasing
• Hard-to-find and obsolete component sourcing

The scope of services for each engagement is defined by the specific quotation, order confirmation, or service agreement between the parties.

3.Eligibility

Our services are intended exclusively for businesses and their authorized representatives. By using our services, you represent and warrant that:

• You are acting on behalf of a registered business entity
• You are an authorized representative with the authority to bind your organization to these terms
• You are at least 18 years of age
• Your use of our services complies with all applicable laws and regulations

SRSEMI does not provide services to individual consumers. We reserve the right to refuse service to any party that does not meet these eligibility criteria.

4.Quotations & Orders

All quotations provided by SRSEMI are subject to the following conditions:

• Quotations are valid for a limited period as specified therein (typically 3–7 business days), unless otherwise stated
• Pricing is subject to real-time market conditions, component availability, and supplier pricing fluctuations
• Minimum order values or quantities may apply depending on the component and supplier
• A quotation does not constitute a binding offer until an order confirmation is issued by SRSEMI
• SRSEMI reserves the right to revise or withdraw a quotation at any time prior to order confirmation

An order is considered confirmed only upon written acknowledgment from SRSEMI, along with receipt of applicable payment or purchase order (for credit-approved accounts).

5.Payment Terms

Payment terms are governed by the following conditions:

• Payment is required in full prior to dispatch of goods, unless credit terms have been explicitly approved in writing
• For approved credit accounts, payment is due NET 30 from the date of invoice unless otherwise agreed
• All prices are quoted in the currency specified on the invoice (typically INR or USD)
• Late payments may incur interest at the rate of 1.5% per month on the outstanding balance
• SRSEMI reserves the right to suspend or terminate services for accounts with overdue payments

Payment methods and banking details will be provided on the invoice. All bank charges and transfer fees are the responsibility of the Buyer.

6.Shipping & Delivery

The following conditions apply to shipping and delivery of products:

• Estimated delivery timelines are provided in good faith but are not guaranteed. Lead times depend on component availability, supplier logistics, and shipping conditions
• Risk of loss or damage passes to the Buyer upon dispatch from our facility or designated warehouse
• For international shipments, the Buyer is responsible for all customs duties, import taxes, and regulatory clearance in the destination country
• SRSEMI is not liable for delays caused by force majeure events, customs holds, or carrier-related issues
• Shipping charges are quoted separately and may vary based on weight, destination, and urgency

Buyers are advised to inspect shipments upon receipt and report any damage or discrepancies within 48 hours of delivery.

7.Quality & Returns

SRSEMI is committed to delivering authentic, high-quality electronic components:

• All components are verified and tested in accordance with CCAP-101 standards for counterfeit avoidance
• Quality claims or discrepancies must be raised in writing within 7 days of receipt of goods
• Returns are subject to our inspection and verification process. Components must be returned in their original, unopened packaging
• Refunds or replacements will be issued at SRSEMI's discretion upon confirmation of a valid claim
• Components that have been soldered, modified, or damaged by the Buyer are not eligible for return

SRSEMI provides documentation of quality testing upon request, including visual inspection reports and electrical test results where applicable.

8.Excess Inventory Purchases

SRSEMI purchases excess and surplus electronic component inventory from businesses. The following terms apply:

• Offers to purchase excess inventory are valid for the limited time period stated in the offer communication
• Payment for purchased inventory will be processed after receiving, inspecting, and verifying the components at our facility
• SRSEMI reserves the right to reject inventory that does not conform to stated specifications, shows signs of damage, or fails authenticity verification
• Rejected inventory will be returned to the seller at the seller's expense, unless otherwise agreed
• Final purchase price may be adjusted based on actual condition and quantity received versus what was declared

9.Intellectual Property

All content on the SRSEMI website — including but not limited to text, graphics, logos, brand identity, page layouts, software, and proprietary data — is the exclusive property of SRSEMI and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our content without prior written consent from SRSEMI. Unauthorized use may result in legal action.

10.Limitation of Liability

To the maximum extent permitted by applicable law:

• SRSEMI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services
• Our total aggregate liability for any claims arising from a transaction shall not exceed the total value of the specific order in question
• SRSEMI is not responsible for production delays, lost profits, or business interruption resulting from component lead times or availability issues
• We do not warrant that our services will be uninterrupted, error-free, or free from security vulnerabilities

This limitation applies regardless of the legal theory under which liability is asserted, including contract, tort, negligence, or strict liability.

11.Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive business information exchanged during the course of engagement, including but not limited to:

• Pricing and commercial terms
• Supplier and customer information
• Technical specifications and bill of materials (BOM) data
• Business strategies, forecasts, and volume requirements

Confidential information shall not be disclosed to any third party without prior written consent, except where required by law or regulation. This obligation survives the termination of any business relationship between the parties.

12.Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

The parties agree to attempt resolution of any disputes through good-faith negotiation before initiating formal legal proceedings.

13.Changes to Terms

SRSEMI reserves the right to modify, update, or replace these Terms of Service at any time. Changes will be effective upon posting to our website. The "Effective Date" at the top of this page reflects the most recent revision.
